This is my first post in here I hope it's in the right place. I did search for a few days for a fix but nothing I have tried works. :(
I'm new to VirtualBox so I don't know if I have just missed something?

This is what I installed "virtualbox-5.0_5.0.0-101573-Ubuntu-trusty_amd64.deb"
This is what is in the Software Center "virtualbox-qt 4.3.10-dfsg-1ubuntu5" I didn't use it because it said "wide range of x86 operating systems"
The version it says under VB help using version 5.0.0r101575

Host Xubuntu 14.04.2 x64
Motherboard Asus Rampage V X99
Onbroad realtek/intel sound (alsa/pulse)
Intel i7-5930K (hexcore HT enabled)
Crucial Balistix DDR4-2400 32 gigs
4 x Crucial M550 128gig SSD's
2 X EVGA GTX980's (using Nvidia binary 355 open-source)
Corsair 1050w single rail

Guest VM Windows 7 Pro x64
256 video memory (in windows it says 384megs) Is there any way to increase this to 1 or 2 gigs?
6 cpu cores
12 gigs DDR4 memory
1 128gig Crucial M550 SSD

After I installed guests per everything I have read here and all over the internet (clicking NO) Aero turns on. About 10 to 30 seconds later it
says something is using to much memory and switches to Windows Basic. Aero is always on when Windows first starts up then back to basic.

Windows EP score
Cpu 7.6
Memory 7.9
Desktop Graphics 5.9
3D Graphics 4.9
Hard Drive 7.7

I have tried enabling "Enable desktop composition" same on Aero then off. Then all the things below all with the same result Aero for a few seconds.
DWM is running in services. I have also tried turning it off & on in a admin command prompt. Same results Aero for about 10 seconds.
C:\Windows\systen32>net stop "Desktop Window Manager Session Manager"
C:\Windows\systen32>net start "Desktop Window Manager Session Manager"

C:\Windows\systen32>Winsat DWM
C:\Windows\systen32>Winsat Formal

C:\Windows\systen32>net stop uxsms
C:\Windows\systen32>net start uxsms

I added these keys to the Windows registry
HKEY_CURRENT_USER\Software\Microsoft\Windows\DWM
Animations = value 0
Blur = value 0
UseMachineCheck = value 0

So I'm at a loss does Aero work or not?
Do I need to use an older version of VB?

Post the vbox.log (compressed) for the guest. All I can tell you at this point is Aero works for me on an Ubuntu 15.04 host.

One problem might be you have all 6 cores assigned to the guest. That doesn't leave much for the host. Try reducing the CPUs for the guest to at most 4, 2 might be better.

it's a 12 core cpu 6 plus 6 HT = 12

No, it's a 6 core CPU with 12 threads. VirtualBox only cares about cores.

No, it's a 6 core CPU with 12 threads. VirtualBox only cares about cores.
Thank you for your help it is 12 CPU's
Trying to post a screen shot but no go.
under System - Processor
Processor(s):1CPU.............................. 12 CPU's Setting 6 is half way.

So VB says you have 16 CPU's but really thinks you have 4?

Mines says the same thing in VMware 12, VB 12.
I have no idea why it shows yours as 16 when it's 8 maybe your version of VB or Ubuntu or something you have moded?

I don't lose any performance on the host or guest at 6 & 6. And even at 1, 2, 4 cpu's the only thing it did was make the guest slower.
I even tried less memory 4, 6, 8 gigs and that only gives me a lower windows EP scores.

So I guess to get it to work it's VMware or newer version of Xubuntu.
Linux is my main system so I like using the LTS versions.
I do have triple boot just trying to get rid of that and do it all in VM's

My i7 is 4 core/8 threads.

Apparently you don't want to understand threads are not cores. Good luck though.

Talk about cores are not going to solve your aero issue anyway. Aero has issues in VirtualBox and has for some time. There are recommended fixes out there but it requires you to edit the source code and recompile. Not easy to do but you can find out how by searching aero flickers in VirtualBox.

I believe that the older version 4.2.* and maybe the first 4.3 may not have the issue but that may not work out for you either.

I do understand what your saying 6 CORES VM ONLY SEES CORES but VM doesn't see physical cpu cores at all it sees vCPU's.
But with what your saying in mind giving all and the only 6 the machine has to the guest should kill the host?
But there isn't any problem on either on performance at 6.

I had some links for you about vCPU's but I can't post them until tomorrow.
They should help you understand how VM sees cpu's maybe why your's sees 16.

I did read how a couple people fixed the flicker using 4.3 VB
And one guy posted his code edit in a text file which I have downloaded.

I will try an older version thanks again!
