Dang! it is Intel's fault for requiring HW VT support to run 64bit guests.
Intel EM64T CPUs do not have segmentation support in long mode. If the Intel EM64T CPU is VT-capable, it comes with hardware virtualization support (Intel's Virtualization Technology). This hardware virtualization support allows Workstation and VMware Server to work around the lack of segmentation, making it possible to run 64-bit guest operating systems on Intel EM64T VT-capable CPUs.

Vista_X64 and Srv08_X64 took a few start attempts to recognize the Virtualbox setting changes but it worked.

Thanks to Nille02, it appears that the approach adopted by VBox is broadly the same as VMware, and that both can only support 64-bit guests if the processor supports VT-x (Intel) or AMD-V (AMD) and the BIOS hasn't disabled Virtualisation. See the VMware paper Processor Check Utility for 64-Bit Compatibility which references the utility which does this check.

It works, but... From time to time, the host crash with the following blue-screen:
Host: Intel Core 2 Duo E8400 3.0GHz, 8GB, Vista x64 SP1, VirtualBox 2.
Client: Vista x64 SP1, 2GB.

Any idea?!?

Yanew, Please don't cross post. We're having difficulty enough coping without you asking the same Q multiple times because we're overloaded. I've deleted the duplicate. Read the 70 odd tickets raised so far on 2.0 bugs. 64-bit support is new in 2.0 and is pretty unstable. Hopefully it will be better in 2.0.2

Nah, there is a Vista x64 driver for AC97. Below is a link that leads to the driver download from the Realtek site, but I'm sure there are other sources. I've tested this on Vista x64 and it works.
