On one of my WinXP hosts, upgrade from VBox 4.1.6 to 5.0.0-BETA1 failed. Clearly a Windows installer issue.
(NOTE: upgrade succeeded on my other WinXP host, so it is a bug that is not 100% reproducible)
How to help you debug this?

Logic would indicate there is a problem with the one XP host. Otherwise the "bug" would have to be VirtualBox will install in XP when it shouldn't.

Did the installer just fail or tell you to reboot after installation? Almost every time it told me to reboot Virtualbox didn't work afterwards and either a complete reinstall or repair install was needed. This with 7 x64 and XP64. I think it always occurs when vboxsvc is still running after closing the GUI.
