I found this is nothing to do with VBox. If blame must be apportioned, blame Unity! :) Launch CompizConfig, and select "Unity" under "Desktop". Set "Key to open the first panel menu" to something else - perhaps F12 Note that the terminal emulator (console window) has it...

I have the same problem. F10 brings up the 'Machine' menu, and is invisible to the Guest OS.
